Terms of Use

Last updated: October 20, 2026

1. About these Terms

1.1 Who we are

InsuranceRevenue.com is operated by Prime Intent LLC, a Wyoming limited liability company located at 30 N Gould St, Suite 42491, Sheridan, WY 82801 (“Prime Intent,” “we,” “us,” or “our”).

These Terms of Use (“Terms”) cover InsuranceRevenue.com, portal.insurancerevenue.com, and the related invitation, registration, onboarding, and account-access services we provide through our APIs (collectively, the “Site”).

1.2 Who these Terms apply to

These Terms govern use of the Site by visitors, applicants, publishers, and their authorized account users.

When you affirmatively accept these Terms through an invitation request, invitation acceptance, or other acceptance process, you agree to be bound by them. Merely visiting the public Site does not create an approved publisher relationship.

“You” means the person using the Site and, where that person is authorized to accept these Terms on behalf of a business, that business. An authorized team member’s acceptance of these Terms does not, by itself, constitute execution of a Publisher Agreement or a personal guarantee of the publisher’s obligations.

1.3 Business use and eligibility

The Site is intended for business use by commercial affiliate marketers, performance publishers, and their authorized personnel. It is not an insurance-shopping service for consumers.

You must be at least 18 years old and legally able to accept these Terms. If you act on behalf of a business, you must have authority for the actions you take on its behalf.

1.4 Relationship with the Publisher Agreement

Participation in our affiliate program requires execution of a separate Publisher Agreement and satisfaction of its acceptance requirements.

Under Publisher Agreement v1.4, the publisher offers to work with us by signing that agreement. It becomes effective when we approve the publisher’s account or first accept Traffic from the publisher, whichever occurs first, as those terms are defined in that agreement. Prime Intent does not need to countersign it.

The Publisher Agreement, together with the applicable Campaign Terms and Publisher Policies, governs the commercial publisher relationship, Campaigns, Traffic, payments, and related Platform use. Its own provisions determine the priority of those documents.

These Terms govern public-site use, invitation requests, onboarding, and account access to the extent those matters are not governed by a Publisher Agreement.

If these Terms conflict with an applicable Publisher Agreement, the Publisher Agreement controls. Its surviving provisions continue to govern matters within their scope after suspension or termination. These Terms do not amend a Publisher Agreement.

1.5 Privacy

Our Privacy Policy explains how we handle personal information relating to visitors, applicants, publishers, and authorized users.

Acknowledging the Privacy Policy does not constitute consent to every processing activity. We obtain separate consent where applicable law requires it.

2. Invitations, onboarding, and accounts

2.1 Invite-only participation

Participation is by invitation and approval only. Requesting an invitation, receiving an invitation, creating login credentials, or completing onboarding does not guarantee approval.

We may approve or reject an application in our discretion, subject to applicable law. Different publishers may be required to complete different verification and payment-onboarding steps.

2.2 Accurate information

Provide accurate, current, and complete information at each applicable stage.

An invitation request asks for contact details, country, and a chosen messaging channel. Company name and website may be optional. Account creation, the Publisher Agreement, and additional diligence may require further information, including legal name, company type, registration jurisdiction, address, signatory details, ownership information, and traffic sources.

You must have authority to provide information about other people. Tell us within five business days if relevant registration or business information changes. Ordinary account-update requests should be sent to support@insurancerevenue.com.

2.3 Application and account communications

We use the contact information you provide or authorize to communicate about your invitation request, onboarding, verification, security, account administration, and publisher relationship.

Where you authorize contact through phone, text, or a messaging application, we may use that channel for those purposes. You can ask us to stop using a particular channel by replying through that channel where available or contacting support@insurancerevenue.com. For SMS, you may reply STOP.

We honor withdrawal and opt-out requests as required by applicable law. Necessary account or legal notices may continue through another appropriate channel.

This provision does not authorize unrelated promotional communications or replace any separate consent required for particular marketing calls, texts, or other messages. Any consent given by a publisher or account user concerns that person’s communications with us; it does not establish consent from insurance consumers.

2.4 Electronic signing and records

We may present the Publisher Agreement through an electronic-signature service, currently BoldSign.

By completing the electronic-signature process, you indicate your intention to sign electronically and receive related electronic records, subject to the agreement and disclosures presented during that process. Electronic signatures and records have legal effect to the extent provided by applicable law.

The signatory must identify the correct publisher and have authority to sign for it. Signing does not guarantee account approval.

A completed signed copy is provided electronically. Contact support@insurancerevenue.com if you need assistance obtaining your copy.

2.5 Identity verification

We may require designated account owners to complete identity or business verification. Where required, verification may be conducted through a third-party provider, currently Persona.

The applicable verification notice and consent process explain the information requested and how it is used. Contact support@insurancerevenue.com if you have difficulty completing verification or need an alternative method.

2.6 Payment and tax onboarding

We do not collect bank account numbers or tax identification numbers through the public invitation-request form.

During onboarding or before payment, we may require payment details, tax documentation, and verification materials through designated secure channels. Bank-transfer details and tax documentation may be collected through Mercury. A publisher choosing PayPal provides its PayPal email address through the portal.

Required tax documentation depends on the payee’s tax status and may include Form W-9 for a U.S. person or the appropriate Form W-8 or other documentation.

The Publisher Agreement governs payment eligibility, timing, holds, and required documentation. Completing a payment-onboarding step does not guarantee a payout.

2.7 Account security and authorized users

Keep passwords, invitation links, API keys, and other access credentials confidential. Use the team-invitation functionality for authorized colleagues rather than sharing login credentials.

Use only the access permissions assigned to you. Do not transfer or provide access to unauthorized people.

Notify us immediately at support@insurancerevenue.com if you suspect unauthorized access. Responsibility for activity under a publisher account is governed by the Publisher Agreement where applicable.

2.8 Access before approval

Preapproval access is limited to the functions made available for onboarding and account administration. A working login, tracking link, or onboarding screen does not itself authorize you to launch a Campaign or submit Traffic.

Campaign participation and approved traffic sources are governed by the Publisher Agreement, Campaign Terms, and our written approvals.

2.9 Restricting access

We may restrict or suspend Site or onboarding access to investigate suspected fraud, protect security, address misuse, comply with law, or enforce these Terms.

Suspension or termination of an existing publisher relationship, and any related payment consequences, remain governed by the Publisher Agreement.

3. Permitted use and intellectual property

3.1 Ownership and permission to use the Site

The Site and its content are owned by Prime Intent or its licensors, except for materials owned by other identified parties.

Subject to these Terms, we permit you to access and use the Site for its intended business purposes. This permission does not transfer ownership or grant rights to use our names, trademarks, or logos in advertising or publicity.

Rights to use Campaign materials are governed by the Publisher Agreement and any written authorization we provide.

3.2 Prohibited conduct

You must not:

These restrictions do not prohibit APIs, integrations, or automated tools that we expressly authorize and that are used within the scope of that authorization.

3.3 Third-party services

The Site may incorporate or link to third-party services. Those services may have their own terms and privacy notices.

Your use of an integrated service does not change the priority of the Publisher Agreement or relieve either party of obligations that applicable law places on it.

4. Disclaimers

4.1 No earnings guarantee

Examples of earnings, conversion rates, earnings per click, revenue, or performance are not guarantees of results. Actual results depend on factors including traffic quality, buyer demand, campaign conditions, compliance, and market conditions.

Illustrative examples do not modify payout rates, qualification criteria, or other commercial terms established under the Publisher Agreement or applicable Campaign Terms.

4.2 No insurance services

Prime Intent operates a B2B performance-marketing and lead-distribution network. We are not an insurance carrier, insurance agency, broker, or underwriter.

Nothing on the Site is an offer to sell or underwrite insurance or a recommendation concerning an insurance policy.

Publishers must not represent themselves as licensed insurance professionals unless they hold the required licenses. Use of Prime Intent’s name or materials remains subject to the applicable agreement and our authorization.

4.3 No legal advice

Compliance information, marketing guidance, and other materials we provide are general information and are not legal advice. Publishers remain responsible for obtaining appropriate advice and complying with their contractual and legal obligations.

4.4 Availability and warranties

To the fullest extent permitted by law, the Site is provided “as is” and “as available,” without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and noninfringement.

We do not promise uninterrupted access, error-free operation, or complete security. This provision does not exclude obligations or warranties that applicable law prohibits excluding.

5. Liability and indemnification

5.1 Excluded damages

To the fullest extent permitted by law, Prime Intent and its owners, officers, managers, employees, affiliates, and agents are not liable for lost profits, lost revenue, lost business, or lost data, whether characterized as direct or indirect damages, or for special, incidental, consequential, or punitive damages arising from the Site or these Terms.

This provision does not reduce payouts owed under a Publisher Agreement.

5.2 Liability cap and governing agreement

For claims within the scope of a Publisher Agreement, its applicable liability provisions govern, including after termination where those provisions survive.

For claims governed solely by these Terms, Prime Intent’s total aggregate liability arising from or relating to the Site or these Terms will not exceed US$100.

No exclusion or limitation applies to liability that applicable law prohibits excluding or limiting.

5.3 Third-party claims

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Prime Intent and its officers, managers, employees, and affiliates against third-party claims and resulting losses, liabilities, damages, and reasonable legal expenses arising from your breach of these Terms, unauthorized misuse of the Site, or violation of applicable law or another person’s rights.

We will provide notice within a reasonable time and reasonable cooperation at your expense. A delay in notice reduces your obligations only to the extent it materially prejudices the defense.

We may require you to conduct the defense using counsel reasonably acceptable to us. Where a conflict of interest or your failure to provide an adequate defense reasonably requires separate counsel, you are responsible for reasonable defense costs attributable to the covered claim.

You may not settle a claim in a way that admits fault for, imposes obligations on, or fails to release a protected party without that party’s written consent.

This section does not replace the Publisher Agreement’s indemnification provisions for matters within that agreement’s scope.

6. Disputes

6.1 Publisher disputes

Disputes within the scope of a Publisher Agreement are governed by its dispute-resolution provisions, including applicable surviving provisions. The remainder of this section applies to disputes governed solely by these Terms.

6.2 Informal resolution

Before starting a formal claim, the party raising the dispute must give the other party written notice describing the dispute and requested relief.

Send notices to Prime Intent at support@insurancerevenue.com. We may send notice to the contact address you provided.

Both parties will attempt in good faith to resolve the dispute for 30 days after receipt. Any contractual claim-filing period under these Terms is paused during that period. This process does not prevent urgent interim relief or filings necessary to preserve a nonextendable legal deadline.

6.3 Governing law and arbitration

Wyoming law governs these Terms, without regard to conflict-of-law rules. The Federal Arbitration Act governs the arbitration provisions.

Except for the court proceedings described below, unresolved disputes will be decided by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

There will be one arbitrator. The legal seat is Sheridan, Wyoming, and the language is English. Hearings will take place by video unless the arbitrator determines an in-person hearing is necessary, in which case it will take place in Sheridan County, Wyoming.

Arbitration fees and expenses will be allocated under the applicable AAA rules and mandatory law. Each party bears its own legal fees unless applicable law or an enforceable agreement provides otherwise.

6.4 Permitted court proceedings

Either party may seek temporary or preliminary court relief to protect intellectual property, confidential information, or security pending arbitration. Either party may also ask a court to compel arbitration or confirm, enforce, or challenge an award as permitted by law.

Permitted proceedings must be brought in Wyoming state courts or federal courts located in Wyoming with jurisdiction over the matter, except that an award may be enforced in any court with jurisdiction.

6.5 Individual claims and jury waiver

To the extent permitted by law, each party may bring claims only in an individual capacity, not as part of a class, collective, or representative action. Neither party consents to class arbitration.

For disputes that properly proceed in court, each party waives trial by jury to the extent permitted by law.

6.6 Time limit

To the extent permitted by law, a claim you bring against Prime Intent under these Terms must be commenced within one year after the claim accrues under applicable law, subject to the pause described in Section 6.2.

This restriction does not apply where applicable law prohibits shortening the filing period.

6.7 If arbitration is unavailable

If arbitration cannot be enforced for a particular claim, that claim must proceed in the courts identified in Section 6.4. The remaining enforceable provisions of this section continue to apply.

7. General provisions

7.1 Changes to these Terms

We may revise these Terms and update the date above.

For material changes affecting registered users, we will provide notice by email or through the portal and identify the effective date. We will request renewed affirmative acceptance where required by law or appropriate to establish acceptance of material contractual changes.

Changes apply prospectively and do not retroactively alter accrued rights or existing disputes.

Changes to these Terms do not amend a Publisher Agreement. Amendments to that agreement, Campaign Terms, or Publisher Policies follow their own procedures.

7.2 Severability and nonwaiver

If a provision is unenforceable, it will be enforced to the extent permitted by law, and the remaining provisions will continue in effect. Nothing in this section authorizes class arbitration.

A failure or delay in enforcing a provision does not waive the right to enforce it later.

7.3 Entire agreement for website matters

These Terms constitute the agreement concerning their subject matter, except to the extent a Publisher Agreement or another applicable signed agreement governs that matter.
